and sale services which Publidisa offers to publishers who choose
to convert their publications into electronic format.

1 What is the Publidisa Affiliate Bookshop service?
The eBook creation and sale service is one of the integral
services offered to the publishing industry by Publidisa. Publidisa
creates eBooks from publisher's publications or publications from publishing
services. Due to the electronic characteristics of eBooks, they can only
be distributed and marketed online. As an additional service to publishers
for the promotion of eBooks created by Publidisa, we have launched
the Publidisa Affiliate Bookshop service. This programme consists
of supplying eBooks on demand, previously provided by the publisher, to
final customers of web sites with the professional capacity to market
books, known as Publidisa Affiliate Bookshops (LAP) or Affiliates
for short.
Affiliates
(LAP) sell eBooks to final customers from an electronic publications
catalogue provided by Publidisa, this is possible by linking the
electronic sales platform to Publidisa's delivery or download system.
Publidisa
has a Digital Rights Management (DRM) system which guarantees reliability
between the parties involved in the transaction, safeguarding author rights
for the works sold.
The
operating procedure of the Affiliate Bookshop Service can be described
in the following way:
| 1.
Periodically via the Internet, Publidisa transfers a
database to the Affiliate Bookshops (LAP) containing
information about the available eBooks, including information
from the Publisher (Reviews, Biographies, Front covers.....)
if available. This is in addition to technical information provided
in order to complete the sale of each eBook. |

2. The Affiliate (LAP) enters the database complete
with updates, as part of their catalogue of publications for
sale. |

3. The Affiliate (LAP) carries out the sales process
and receives payment from its customers, in such a way that
a "Firm delivery order" is sent to the final customer. |

4. Publidisa provides the download of the publication
to the final customer. |
|
5. Publidisa notifies the Publisher of the sale of their
publication. |

6. Publidisa provides the final customer with
online support for the download of the publication if Publidisa
has their contact details. |

7. The Affiliate (LAP) pays Publidisa for
the order made by the agreed method. |

Who can join the Publidisa Affiliate Bookshop Service?
The Publidisa Affiliate Bookshop Service is a programme exclusive
to bookshops. Only web sites, which are considered as virtual bookshops
on the Internet, have the option of joining.
The physical
location of the Affiliate Bookshop is of no importance whatsoever
as online services are available in any part of the world. The only countries
excluded are those which are restricted by Spanish Law.

What are the economic conditions?
A percentage of the registered RP including VAT of the orders issued or
eBooks sold from the Affiliate's (LAP) web site, with a guaranteed
minimum monthly amount paid to Publidisa.
Any profits
are received immediately, as soon as the order is made and the Affiliate
(LAP) takes payment for the book at the RP, the corresponding amount
will be paid to the Affiliate. In other words, the agreed percentage will
be paid at the same time as the sale is made.

In technical terms, how does it work?
The whole
process is based on the controlled download of files from Publidisa's
servers:
| Download
of the eBook database
This
will be similar to waiting for an answer from Publidisa's
web site to a request of the following type:
/LAP/List-ebooks.asp?LAP=[código
]&pword=[code]&mode=[tipo]&fecha=[ddmmaaaa]
The
file will contain a tabulated list with all the eBooks and their
related information, and depending on the mode, specific selections
will be available:
Mode=1 All saleable eBooks without distinction.
Mode=2 New eBooks from the date indicated.
Mode=3 Modified eBooks from the date indicated.
The
download of the images for the front covers will be via File Transfer
Protocol (FTP) in classified directories listed in order updated,
therefore only the latest collection needs to be downloaded. |
| Sale
of eBooks with challenge/ reply:
The
Affiliate Bookshop and Publidisa's servers interact
to validate the sale through double checking: the bookshop
will generate a unique random code with temporary validity
and Publidisa will ask the bookshop which publications
should be delivered to the user who identifies themselves
with this code: |
| 1.
The Affiliate (LAP) generates a unique transaction code
relating to the sale of one or various eBooks to a single customer. |
| 2.
The Affiliate (LAP) provides a link on their web site
for each publication, which should have an URL of the following
type:
/LAP/purchase.asp?name=[...]&apell=[...]&email=[...]
&securitycode=[...]&ordernum=[...]&orderline=[
]
The
entries "name", "apell" and "email"
are only compulsory if post sale support is required for the
final customer.
"Securitycode"
is a random 14-digit security code which the Affiliate
(LAP) needs to generate to prevent the practise of depthlinks.
"Orderline"
indicates the number of the publication within the order.
The aim is to differentiate between publications which have
been acquired jointly in the same order. |

The user clicks on the link and their navigator initiates the
delivery request for the publication with Publidisa. |
| 4.
Publidisa requests a confirmation of the authorised
user from the Affiliate's server.

The
Affiliate's Web server should provide the following
details in the reply:
ISBN,
title and security code
Publidisa
will ensure that there is no previous order submitted with
the same order number and orderline. If this does occur, it
will be treated as an ERROR (see point 7)
Publidisa
will ensure that the ISBN (a key field) is available to be
sold by the Affiliate (LAP) at that moment. If this
is not the case it will be treated as an ERROR. (See point
7)
Publidisa
will ensure that the security code coincides with the one
expected, and if this is not the case it will be treated as
an ERROR. (See point 7). |
| 5.
Publidisa will control the sale for the payment process to the
Affiliate (LAP). |
| 6.
Publidisa registers the sale for the Publisher reports. |
| 7.
Publidisa sends notification of sale registered on
the Affiliate's web site of the following type:

Where
"status" is the result of the request "Order
on delivery"
Status=0
will give "All correct. Programmed order"
Status=1 will give the error "ISBN not available"
Status=2 will give the error "Security code incorrect"
Status=3 will give the error "Time out waiting for LAP
reply.
Status=4 will give the error "LAP has no credit available"
Status =5 will give the error "Incident in LAP online
payment"
Status=6 will give the error "eBook previously downloaded"
Status=7 will give the error "Other errors" |

If the status is 0 go to point 11. |
| 9.
If the status is different from 0 (there has been an error),
the user is directed to an Error page on the Affiliate's
(LAP) web site. For example:

In the event that the said page does not exist, Publidisa
will provide an error page for the final user. |

Publidisa allows the start of the download in the initial
session which the final user established. |

Once the download is made or the session is finished, the
final user will be directed to an Affiliate (LAP) page
of the following type:

will give the error "Incident during download"

How do I join the Publidisa Affiliate Bookshop Service?
To benefit from this Publidisa service you must sign Affiliate
Bookshop Services Contract. This contract contains all the conditions
of the service which Publidisa provides, the form of management
and the considerations. Once the contract is signed, the Affiliate
Bookshop Activation Form must be completed and sent to Publidisa.
The said procedures must be formalised on paper, and those wishing to
join the programme must apply to LAP@publidisa.com

How is the service activated?
Once the LAP contract is completed and sent along with Publidisa's
Affiliate Bookshop Activation Form, the deadline for activation agreed
by both parties will be a maximum of 45 days for it to be up and running.
The activation
phases of the service are:
| 1.
SETUP: Publidisa will have a maximum of 15 days to fully
activate the service. |
| 2.
ALFA: Once the service is activated, Publidisa
will give technical support to the Affiliate Bookshop's (LAP)
technicians until both platforms are in tune. As much testing
as is necessary will be carried out during the period referred
to as ALFA, until the system has been correctly configured
and the Affiliate has accepted it. The ALFA period
cannot last for more than 15 days. |
| 3.
BETA: Once the ALFA stage is complete, the Affiliate
(LAP) can carry out internal tests previous to production.
During this stage Publidisa does not intervene. The BETA
stage cannot last more than 15 days |
| 4.
INITIAL PRODUCTION: The Affiliate will give Publidisa
5 working days notice of the date of production, allowing
time for planning the correct strategy with real customers for
a week from that moment. |
| 5.
FINAL PRODUCTION: Normal provision of services. |

Publidisa
will consider the service "Ready for service" (RFS) when the
Affiliate (LAP) gives the go-ahead or 30 days from the start of
the ALFA stage.

What are the limitations and requirements of the service?
The Affiliate (LAP) must meet the amounts which are charged for
corresponding to the amounts from the programmed delivery orders.
Publishers
may make modifications to the availability or the price of a publication
on the first day of each month. Therefore Affiliates (LAP) are
advised to update their database at the beginning of each month to avoid
selling publications which the Publisher may have withdrawn of modified.
Publidisa
will withdraw Publisher's publications being sold by Affiliates (LAP)
with good reason. In other words, Publidisa's Publishers may veto
an Affiliate Bookshop (LAP) at any time, observing the stipulated
period for modifying entries.
Publidisa
does not provide any technical support via telephone, in addition to that
which is available on the web site or via e-mail, furthermore calls will
not be taken regarding the technical aspects of the Affiliate Bookshop
(LAP) service.

This programme
strictly prohibits membership for web pages containing or linked to material
which is sexually explicit, violent, racist, discriminatory or illegal.
The failure to comply with this restriction will result in immediate loss
of Affiliate (LAP) status.
The Affiliate
(LAP) should include a button on their home page linked to Publidisa's
web site which will be provided by Publidisa at the start of the
relationship. The button will be linked to a page on Publidisa's
web site where the customer will be informed of the legality of the service.
Publicaciones
Digitales, S.A. is the owner of the "Publidisa" name
and has the full rights to establish the rules of use of the name and
logo. The Affiliate (LAP) is committed to follow the guidelines
on their use, in particular in terms of not altering the graphics or formats
for the links in any way. They should be used exactly as they appear.

What relationship do the Publisher and Publidisa have with the final customer?
Publidisa provides the downloads and the technical support for
the final customer who buys the eBook from the Affiliate (LAP).
For this reason they maintain contact with the customers.
The Publishers,
the true owners of service rights, will be able to contact the customers
for specific reasons.
It is recommended
that in the conditions of use on the Affiliate (LAP) web sites,
a paragraph is included which reflects the sentiments of the following
text. Also it should be validated in its entirety by the customer
with a yes or no answer, so that Publidisa's post-sale support
and Publisher's access to the customer information is accepted or declined
in its entirety:
"The
use and protection of this information fully complies with current Spanish
law. Furthermore, you authorise the transfer of your contact details to
Publicaciones Digitales, S.A. in order to receive support in the
download of eBooks, and to Publishers from whom you buy publications,
with the aim of obtaining added services, special offers, updates, gifts,
etc."
Publidisa
is responsible for the whole process of delivery and support of the eBooks,
without any petition of help or support from the Affiliate (LAP)
at any time, except to confirm the contact details of the users.
